DRIFT - TERMS AND CONDITIONS
1. SCOPE OF SERVICES
DRIFT provides video production services including pre-production, filming, editing, and post-production as agreed in the initial brief and quotation. Services cover shoot production, additional crew and kit, edit and post-production support, and event coverage.
2. QUOTATION AND ACCEPTANCE
All quotations are valid for 14 days. A signed quotation or written confirmation constitutes acceptance of these terms. Any changes to scope after acceptance will be quoted separately.
3. PAYMENT TERMS
50% deposit on project commencement
50% balance on delivery of final files
Payment is due within 30 days of invoice. Late payment may incur interest at 8% above the Bank of England base rate plus fixed compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
4A. USAGE
4A.1 Unless otherwise agreed in writing, the fee quoted includes a non‑exclusive licence for the Client to use the final deliverables for a period of 12 months from first publication, for organic use on the Client’s own channels (including website, email, and social media), and in internal communications.
4A.2 The licence does not include use in paid media or above‑the‑line advertising such as TV or VOD broadcast, cinema, out‑of‑home, paid social, programmatic, or any third‑party media placements. Any such usage must be agreed in advance and will be subject to additional fees.
4A.3 Extensions to the usage period, expansion to new territories, or additional media (including but not limited to TV, VOD, cinema, out‑of‑home and paid digital campaigns) can be licensed on request and will be quoted separately.
4A.4 Until all fees (including any agreed usage fees) are paid in full, no licence is granted and the Client shall not exploit the deliverables in any form. Upon full payment, the Client is entitled to the use of the final deliverables as specified in the brief. DRIFT retains ownership of raw footage, project files (e.g. DaVinci Resolve, Adobe files), and working materials unless separately agreed.

5. PORTFOLIO AND PROMOTIONAL USE
DRIFT retains the right to use the finished project for portfolio, case studies, award submissions and internal promotion unless the Client opts out in writing before project commencement.
6. REVISIONS AND AMENDMENTS
The quotation includes an agreed number of revisions. Additional rounds of revision, client-requested changes after approval, or scope creep incur additional charges at daily or hourly rates based on the agreed quotation fees.
7. CLIENT RESPONSIBILITIES
The Client is responsible for obtaining all necessary permissions, location clearances, talent consent, and rights to any third-party materials provided. DRIFT cannot be held liable for legal issues arising from Client-supplied content or use.
8. CANCELLATION AND RESCHEDULING
Cancellation more than 14 days before a scheduled shoot incurs a 25% charge. Cancellation within 14 days incurs 50% of the project fee. Rescheduling due to Client availability may incur additional costs for crew, travel and equipment.
9. DELIVERY AND ARCHIVING
Final deliverables are supplied via cloud link Dropbox or Frame.io. DRIFT retains files for 3 months from delivery. Extended archiving must be requested prior to commencement of any project.
10. LIABILITY AND INDEMNITY
DRIFT is not responsible for loss of revenue, missed deadlines, or consequential damages arising from circumstances beyond its control (including force majeure). The Client is responsible for the legal use of deliverables across all distribution channels and paid media.
11. CONFIDENTIALITY
Both parties agree to keep project details confidential unless publicly announced by the Client or required for legal purposes.
12. DISPUTES
These terms are governed by English law. Any disputes shall be resolved through negotiation or mediation before legal proceedings.
